gateAntitrustMergerControl — Antitrust & Merger Control Gate
// IMMO.QUICK · GATEANTITRUSTMERGERCONTROL · GATE 27 · EUMR · GWB · HSR ACT · VO (EU) 2022/2560

No integration, until clearance exists as a hash.

gateAntitrustMergerControl forensically seals that an M&A transaction passes six clusters, filing thresholds & multi-jurisdiction matrix, clean team data lock, gun-jumping execution lock, LBO covenants, Foreign Subsidies Regulation, and FDI cross-gate dependency, before operational integration begins. Support for private-equity sponsors and antitrust authorities, never a replacement for a regulator's own recognition as evidence.

In one sentence: gateAntitrustMergerControl physically blocks any operational merger of two companies until antitrust clearance exists as a hash in the architecture.
✓ RELEVANT IF...
  • You are planning an M&A or private-equity transaction above the merger-control thresholds
  • You need to deterministically rule out gun jumping (premature operational integration)
✕ NOT RELEVANT IF...
  • You expect the EU Commission or the FTC to automatically recognise the result as clearance
  • No transaction above the filing thresholds is involved
// The problem

Gun jumping destroys the entire return of the deal.

Gun jumping means two companies operationally merge or exchange competitively sensitive data before antitrust authorities have granted official clearance. Penalties from the EU Commission or the US FTC run up to ten percent of worldwide group turnover.

Liability removal means instant adoption
Art. 14(2) EUMR threatens fines of up to 10% of group turnover, §7A(b)(1) HSR Act a 30-day waiting period. The T=0 lock makes a breach of the standstill obligation technically impossible, rather than sanctioning it after the fact.
// Architecture

Six clusters, culture-free.

Every cluster is dispositive (material_block_mode: true). The gun-jumping lock in cluster 3 is the architectural core: operational integration is technically impossible until the machine issues the PASS verdict.

C1
Filing Thresholds & Multi-Jurisdiction Matrix
Deterministically calculates in which jurisdictions a filing is required: EUMR main and alternative test, GWB domestic threshold including §35(1a) killer-acquisition, HSR size-of-person test, UK CMA, CN SAMR.
eumr_test_triggered · gwb_inland_threshold · killer_acquisition_flag · hsr_size_of_person
C2
Clean Team Data Lock
Distinguishes competitively sensitive data categories (pricing, customers, capacity, cost, roadmap) from harmless data. Every sensitive category requires a separate, cryptographically signed antitrust-counsel sign-off.
sensitive_category_flag · counsel_signoff_hash · access_log_hash
C3 · GUN-JUMPING LOCK
Gun-Jumping Execution Lock
Deterministically blocks any IT migration, bank-account merger, pricing coordination, or personnel integration as long as no clearance hash exists. Legitimate ordinary-course interim agreements remain explicitly free.
clearance_hash_present · requested_action_type · ordinary_course_exception
C4
LBO Maintenance Covenants
Monitors the debt covenants of the acquisition financing: leverage ratio (net debt/EBITDA) against the cap, minimum liquidity threshold, restricted-payments basket for holding dividends.
leverage_ratio · liquidity_covenant · restricted_payments_basket
C5
Foreign Subsidies Regulation
Checks the third, independent notification duty under Regulation (EU) 2022/2560: foreign subsidies exceeding €50m over three years combined with EU turnover above €500m trigger an additional Commission filing.
foreign_subsidy_3y_eur · eu_turnover_eur · fsr_notification_filed
C6
FDI Cross-Gate Dependency
Automatically couples with gateForeignDirectInvestment: if the target operates in CRITIS sectors and the buyer is foreign, an FDI resolution hash becomes mandatory, the two gates are architecturally linked, not isolated.
kritis_target_flag · foreign_buyer_flag · fdi_resolution_hash
Fatal test case: IT migration one week before clearance
A CEO wants to synchronise both companies' IT systems one week before official antitrust clearance. BLOCK_A3_GUN_JUMPING_DETECTED fires in under 800ms, the call to migrate systems is physically blocked before the violation can occur.

Cryptographic chain continuation
Every test produces a deterministic receipt_id (VAR-ANTI-{TENANT}-{SEQ}), an input_snapshot_hash, an HMAC-SHA256 signature, and a merkle_link to the previous receipt. Persistence occurs in the AntitrustMergerReceipt entity with a 24-element verdict enum and a 10-year retention period.
// Clarification

What gateAntitrustMergerControl is not.

  • Not automatic recognition by the EU Commission, the German Federal Cartel Office, or the FTC. The gate delivers a cryptographic proof, not regulatory clearance.
  • Not an independent data-room system. The gate seals the access and sign-off check, it does not replace an existing virtual data room.

For private-equity sponsors that want to execute billion-dollar deals without gun-jumping risk.
